Terms of Service

Please read these Terms of Service carefully. By using the Proximatic platform, you agree to be legally bound by these conditions. Proximatic is a product of Proximal Coast LLC
1. Acceptance of Terms
Proximatic provides a community coordination platform. By accessing or using our website, mobile application, or any services provided by Proximatic (collectively, the "Service"), you agree to comply with and be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
2. Fees and Payments
Activation Model: Proximatic operates on a "Pay-per-Event" model. Service fees for event coordination are charged on a per-event basis as displayed at checkout. Activation provides coordination services for a single event for a duration as specified at the time of purchase.
No Subscriptions: Proximatic does not charge recurring monthly subscription fees for database management or planning tools. Fees are incurred only upon explicit event activation.
Resource Packs: Additional resources (SMS credits, photo archiving) may be purchased as one-time "Packs." These credits do not expire.
Zero Platform Fees & Stripe Connect: Proximatic utilizes Stripe Connect to facilitate payments directly between donors/payers and your organization. We act solely as a technology provider and do not intercept, hold, or take a percentage of your transaction volume ("Platform Fees"). You receive 100% of the net funds processed by Stripe, subject to Stripe's own standard processing fees.
3. Communication & Notifications
Community Broadcasts
Proximatic allows organizers to send Emails, Push notifications, and SMS to their volunteer database. These communications are intended for coordination, emergency alerts, and community updates.
SMS / Mobile Messaging
By opting into SMS notifications, you agree to receive text messages from organizers. Message and data rates may apply. Messaging frequency varies based on community activity. To stop receiving SMS, you can opt-out via your profile settings or by following the instructions in the message. Proximatic is not liable for delayed or undelivered messages.
Push Notifications
Web-based push notifications require explicit browser-level permission. Delivery of push notifications is dependent on device connectivity and browser state (e.g., Safari "Add to Home Screen" requirement on iOS). We do not guarantee the delivery time or receipt of any notification.
Email Policy
The 1,000 monthly free email allocation is reserved for "Active Communities" (those with at least one paid event activation in the prior 30 days). Transactional emails (password resets, etc.) are always included.
4. Operational Disclaimers
"As Is" Service: The Service is provided on an "as is" and "as available" basis. Proximatic makes no warranties, expressed or implied, regarding accuracy or success.
Safety-Critical Usage: Proximatic is a coordination tool, not a professional life-safety system. Organizers are ultimately responsible for volunteer safety.
5. Verified Logs & Liability
Audit Log Integrity: Proximatic provides a technical infrastructure for recording volunteer hours via cryptographic tokens. We certify only the technical authenticity of these tokens (preventing duplication/forgery of the code itself).
Human Accuracy: The host organization and its authorized supervisors are solely responsible for verifying the physical presence of volunteers and the accuracy of time entries. Proximatic is not liable for, and cannot defend, any hour logs in the event of human error or negligence by the organization.
Audit Failure & Non-Acceptance: Proximatic does not guarantee that any third party (including but not limited to DSS, SNAP/WIC offices, courts, or educational institutions) will accept platform-generated logs as sufficient proof of service. Failure of an audit or rejection of a log by a third party is not the responsibility of Proximatic, and Proximatic will not provide legal defense or expert testimony in such matters.
Fraud & Abuse: Manipulation of hour logs, fraudulent check-ins, or supervisor-led fabrication of data is strictly prohibited and may result in immediate account termination. Proximatic is not indemnified to handle, defend, or resolve legal disputes arising from fraudulent benefit claims (e.g., SNAP, WIC, scholarship fraud) made using platform-generated logs.
6. Indemnification
You agree to defend, indemnify, and hold harmless Proximal Coast LLC from and against any and all claims, damages, obligations, or losses resulting from your use of the Service or breach of these Terms.
7. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
